SB Energy IPO: AI data center play backed by Softbank, Nvidia, OpenAI

SoftBank-Backed SB Energy Files for IPO, Citing Deep Reliance on OpenAI and Nvidia

SB Energy, an infrastructure firm at the heart of the AI power revolution, has officially filed for an initial public offering with the Securities and Exchange Commission (SEC). The company, which is controlled by SoftBank and serves as a critical partner to industry titans like OpenAI and Nvidia, is positioning itself for a major debut on the Nasdaq and Nasdaq Texas exchanges under the ticker symbol “SBE.”

According to reports, the company is aiming to raise between $5 billion and $7 billion, with trading potentially commencing as early as this month.

A High-Stakes Bet on AI Infrastructure

SB Energy’s S-1 filing reveals a company currently in a state of rapid transition. While the firm maintains a legacy energy business—which generated roughly $139 million in revenue during the first half of 2026—its primary growth engine remains largely unproven. None of the company’s planned data center campuses are currently operational, contributing to a net loss of approximately $3.2 billion for the first six months of 2026 as it funnels massive capital into development.

The filing highlights a heavy concentration of risk tied to its most prominent partners. SB Energy explicitly stated that it is “substantially dependent” on the performance of OpenAI, which acts as both a key tenant and an equity investor in the company. OpenAI CEO Sam Altman was also an early personal investor in the venture.

The interconnected nature of these partnerships was underscored in August, when Nvidia announced it would provide a staggering $105 billion in financing for a massive OpenAI data center project in Ohio, to be constructed by SB Energy.

“The reason Nvidia is on our part of the equation here is that it helps us to unlock things like investment-grade financing,” SB Energy CEO Rich Hossfeld said in a recent interview on CNBC’s Squawk Box. “It helps to ensure the project is a success.”

Facing the Risks of the AI Boom

The prospectus offers a sobering look at the challenges facing the infrastructure sector, noting that mentions of OpenAI (306) and Nvidia (135) throughout the document reflect how closely the firm’s future is tethered to the broader AI artificial intelligence ecosystem.

Beyond its reliance on these tech giants, SB Energy identified several headwinds that could threaten its valuation:

  • Public Backlash: The company warned of “community opposition, local moratoria and hyper-local dissent,” acknowledging that growing public resistance to the massive power and water requirements of data centers could derail projects.
  • Technological Obsolescence: The firm acknowledged that the rapid pace of hardware and software development could render its current facility designs “obsolete or unmarketable.”
  • Macro Risks: Potential hurdles include a deceleration in capital expenditure from major hyperscalers, regulatory shifts, and the risk that businesses may fail to achieve the anticipated widespread adoption of AI technologies.

As SB Energy prepares to hit the public markets, it remains a bellwether for the massive financial commitments required to sustain the AI surge. Whether investors will look past the current billions in losses to bet on the long-term potential of this energy infrastructure remains the central question for the company’s upcoming roadshow.
