Power Play: Indian Gas Exchange Secures SEBI Green Light for Landmark IPO

Power Play: Indian Gas Exchange Secures SEBI Green Light for Landmark IPO

IGX Gets SEBI Nod for IPO as Parent Company Plans Stake Dilution

Indian Gas Exchange Ltd (IGX), the nation’s pioneering digital platform for natural gas trading, has moved a step closer to its stock market debut. The Securities and Exchange Board of India (SEBI) has granted its final approval for the company’s initial public offering (IPO), marking a significant milestone for the exchange as it prepares to transition into a publicly traded entity.

The regulatory clearance, issued on October 12, follows the filing of the draft red herring prospectus (DRHP) earlier in July. This development comes during a historic year for India’s primary markets, which have witnessed over 96 public issues raising a combined total exceeding Rs 1.1 lakh crore in 2026.

Structure of the Offer

The upcoming IPO is set to be an offer for sale (OFS) of up to 1.67 crore equity shares. The entire transaction involves the offloading of shares held by the promoter, Indian Energy Exchange Ltd (IEX). Consequently, because the offering does not include the issuance of fresh equity, IGX will not generate any capital proceeds from the sale; the financial gains will accrue entirely to the parent company, IEX.

The decision to list is driven largely by regulatory mandates. IEX, which currently maintains a stake of over 47% in the gas exchange, is required by existing market regulations to pare its holding down to 25%. By initiating this OFS, IEX can bring its ownership within the prescribed limits while simultaneously unlocking value for its shareholders. Furthermore, management at IGX believes that the transition to a listed company will enhance the brand’s visibility and establish a transparent public valuation for its equity.

A Growing Footprint in Energy Trading

Since its inception in November 2019, IGX has rapidly integrated itself into India’s energy infrastructure. After receiving formal authorization from the Petroleum and Natural Gas Regulatory Board (PNGRB) in December 2020, the exchange launched its electronic trading platform to facilitate standardized, physical delivery-based natural gas contracts.

Unlike many global counterparts that focus heavily on financial derivatives and paper-based settlements, IGX distinguishes itself by operating a market rooted in actual physical supply. It manages a network of delivery hubs linked to India’s national gas pipeline grid and provides flexibility through forward contracts with tenures extending up to six months.

Financial Performance and Future Outlook

The exchange has demonstrated consistent financial growth, reflecting the rising adoption of its platform within the energy sector. For the financial year ending March 2026, IGX reported operating revenue of Rs 61 crore. This marks a steady upward trajectory from Rs 48.8 crore in FY25 and Rs 34.8 crore in FY24.

Earlier this year, IGX Managing Director and CEO Rajesh Kumar Mediratta expressed optimism regarding the timeline, aiming for a public market debut before the end of 2026. To manage the complexities of the issue, the company has appointed Axis Capital and Motilal Oswal Investment Advisors as the book-running lead managers, with KFin Technologies serving as the registrar. As the energy landscape in India shifts toward greater gas reliance, the upcoming listing is expected to be closely watched by stakeholders and investors alike.
